TERMS OF SERVICE  

  1. Definitions  

    1. Agreement - Refers to the Terms of Service herein to this document.  

    2. Cyder Inc. - Refers to the business, corporation, vendor, distributor, and provider of the below-listed Services.  

    3. User - Individual partaking in the use of the Services provided by Cyder Inc.  

    4. Territories - Refers to The United States of America and Canada.  

    5. Services - Refers to this website, web application, and browser plugin, extension, browser extension provided by Cyder Inc.  

    6. Cyder Reward - Refers to non-monetary value earned from the Services.  

    7. Qualifying Activity - Refers to predetermined points over time, online browsing, tutorials, completing surveys, opting to share data with Cyder partners/clients, and engaging in Cyder-sanctioned point collections.  

2. Introduction

  1. ​These Terms of Service (“Agreement”) govern the User's use of Cyder services (“Services”). Cyder Services are available for use by the User in the United States of America and Canada (“Territories”). To use Cyder Services, the User needs compatible hardware, software (latest version recommended and sometimes required), and Internet access (fees may apply). The performance of Cyder Services may be affected by these factors. This Agreement, along with Cyder's Privacy Policy, governs the User's use of the Services. By using the Services, the User agrees to this binding contract. Undefined terms may be clarified in the Privacy Policy. If the User does not agree to the Agreement, the User may not use the Services.  

3. Accepting the Terms

  1. The User may not use the Services, or accept the Agreement, if:  

    1. the User is not of legal age to form a binding contract with Cyder or  
    2. the User is prohibited by law from receiving or using the Services.  

  2. This Agreement is written in English. Cyder does not guarantee the accuracy of translated versions. In case of any conflict, the English version prevails. For Users outside the Province of Quebec: Cyder may modify this Agreement at any time. All changes will be posted on this site, with the revision date indicated. By continuing to use the Services after changes are posted, the User accepts and agrees to the updated Agreement. 

4. Description of the Services

  1. Cyder is a browser extension and rewards platform designed to help Users control and monetize their data. With Cyder, Users can choose to share their data with partner companies and, in return, receive Cyder tokens or rewards. As Users browse or interact with Cyder Services on their desktop browsers, they earn rewards for their everyday online activities. These rewards can then be redeemed for gift cards, making every day browsing a rewarding experience. The data is used to help organizations understand when these Users are in the market for specific products.  

5. Storage and Use of Data

  1.  If the User elects to create a Cyder account, then the User consents to allowing Cyder to securely store, anonymize, analyze, process, and aggregate the data that the User provide to Cyder through the Platform solely for the purposes of providing the User the Services, including the ability:  

    1. to review and correct the accuracy of the User data;   

    2. to draw relevant analytics and insights from the User data;  

    3. to download, export, and/or delete a copy of such data; or   

    4. to license the User data, in the form of insights, with participating businesses. 

6. Data we Collect

Our application collects and processes certain data to enhance user experience, improve performance, and maintain security. By using this application, you consent to the collection of the following types of data:

  1. Personal Information:

    1. Name: If provided, we collect your full name to personalize your experience.

    2. Email Address: Used for communication, notifications, and account management.

    3. Title on Page: Any title or identifier associated with your session, as applicable.

  2. Browsing Information:

    1. URL Data: We collect the URLs of pages you visit while using our app to understand user activity and navigation patterns.

    2. Domain: the associated domain of the url you navigated to.

    3. Metatags: Metatag information from visited pages may be collected to provide context for your browsing behavior.

    4. Title on Page: The page title of each URL visited may be recorded to further enhance usage analytics.

  3. Technical Data:

    1. IP Address: Used to determine general location, monitor session activity, and prevent unauthorized access.

    2. Device Information: Information about the device used, including operating system, browser type and version, and unique device identifiers, may be collected for troubleshooting and optimizing the app’s performance.

    3. Date and Time of Access: Collected to track when specific pages or features were accessed.

7. Royalties and Rewards  

  1. If the User licenses their data or takes paid actions for Cyder Rewards, Cyder will credit this value to the User’s account until points are available for withdrawal. To receive these points, the User’s account balance must meet a minimum threshold, and rewards may be given as credits, points, or other non-monetary means. Cyder may change the minimum threshold at any time without notice. If the User deletes their data, closes their account, or Cyder closes their account, any outstanding balances are forfeited. Cyder reserves the right to modify reward issuance based on market data rates, including altering the frequency and amount of rewards.  

  2. To earn Cyder rewards, the User must download the browser extension, enroll with a valid email, and provide accurate personal information. Eligibility is limited to individuals at least 18 years old who are residents of the Territories. Corporations, entities, and individuals under 18 are ineligible. Cyder rewards are not available outside the Territories.  

  3. Rewards will only be issued to legitimate Users. Multiple accounts for oneself, family members, or affiliates are prohibited, as is impersonation or using another person's account. The use of manual or automated methods (e.g., macros, scripts, bots, click farms) to circumvent restrictions is forbidden. Cyder reserves the right to modify reward actions and amounts, cancel rewards, terminate User accounts, and report Users to authorities if fraudulent or deceptive methods are detected. Additionally, rewards, User accounts, and benefits are non-transferable, and combining accounts or having joint accounts is not permitted.  

  4. Cyder does not warrant the accuracy or timeliness of information displayed via the Services. Descriptions of Cyder redemptions may contain inaccuracies, typographical errors, or other mistakes. The User agrees that neither Cyder nor third parties are responsible for such errors, and both Cyder and the third parties reserve the right to correct them upon discovery.  

8. Rewards Qualifying Activity

  1. Cyder ensures program integrity by allowing rewards only for legitimate consumer browsing and activity. Users may earn rewards through sign-up bonuses, predetermined points accumulation, online browsing, tutorials, surveys, data sharing with Cyder partners/clients, and Cyder-sanctioned point collections. Cyder reserves the right to determine and modify reward amounts for qualifying activities. Not all activities guarantee rewards, as they are subject to promotions and offers available to specific Users at any given time.  

  2. Cyder Users are subject to an undisclosed daily maximum limit on rewards to prevent fraud. Cyder reserves the right to review reward accrual and determine, at its discretion, if certain browsing or actions qualify for rewards and redemption. Browsing behaviors such as repeated hits on similar domain URLs or bot-like activity may not qualify for rewards, as determined by Cyder. Cyder may reverse accrued points if, upon review, an action is found not to qualify. Accounts engaging in repeated non-qualifying activity may be disabled by Cyder.  

9. Redemption of Cyder Rewards

  1. Cyder Rewards, redeemable solely via the extension, hold no cash or monetary value and cannot be converted into currency. They can be redeemed for gift cards offered through Cyder, subject to availability. The value of Cyder Rewards is applied pre- tax, excluding fees and shipping charges, with a maximum weekly redemption limit of 1 00,000 units. Gift card redemptions may be facilitated through Cyder's third-party vendor, Branded Currency Rewards. By using Cyder, the User agrees to the terms of Branded Currency Rewards, available at: https://brandedcurrencyrewards.com/info/client-terms.  

  2. Cyder rewards are non-transferable and cannot be combined with other promotions or discounts. The number of rewards in the User account and the amount required for redemption are subject to verification by Cyder. Once a reward is requested or redeemed, no changes, refunds, or returns are permitted. Cyder is not liable for lost or stolen rewards. All rewards are subject to availability and supplier restrictions. Cyder assumes no responsibility for issues related to rewards, including loss, damage, defect, injury, death, or expenses. Rewards suspected of being sold, exchanged, obtained fraudulently, or issued to someone other than the registered User will be void and not honoured.  

  3. Users can view their Cyder Rewards balance through the Services. A valid Cyder account is necessary to check rewards. Cyder aims to credit rewards promptly. Any discrepancies in credited rewards must be reported to Cyder within 30 days of the claim. Cyder is not liable for failures, delays, or errors in crediting rewards to the User's account.  

10. Expiration, Inactivity & Cancellation of Rewards   

  1. Cyder is free to use, but inactive accounts may have rewards deducted. An account is considered inactive if the User does not open the Cyder extension or browse on their Cyder-linked browser (while logged in to Cyder) for thirty (30) consecutive days. Inactive accounts cease to earn rewards. If an account remains inactive for an additional six (6) months, Cyder reserves the right to deactivate or delete it, resulting in the loss of all earned rewards. Deductions for inactive or deleted accounts are nonrefundable.  

  2. If the User account is terminated or disabled for any reason, including multiple attempts at non-Qualifying Activity or fraudulent activity, all existing Cyder rewards will be forfeited, and subsequent activities that could earn Cyder rewards will not be eligible.  

    1. Cyder reserves the right to cancel the User's accumulated rewards, suspend benefits, or terminate the User account immediately and without prior notice, at its sole discretion and for any reason, including but not limited to:  

      1. any violations of applicable laws or regulations;  

      2. engagement in inappropriate, fraudulent, abusive, or hostile behaviour; 

      3. any breaches in the Agreement; or  

      4. misconduct or wrongdoing related to the Services.  

      5. These actions do not limit Cyder's legal or equitable rights or remedies.

  3. Cyder rewards, benefits, and associated services are the exclusive property of Cyder and not the property of Users. Users may cancel their account and participation in the rewards program by emailing Cyder at getcyder@gmail.com. Upon cancellation, all unredeemed rewards will be forfeited immediately and cannot be reinstated or transferred. 

11. Modification and Termination of the Rewards Program and Benefits  

  1. Cyder reserves the right to modify or terminate the rewards program, associated rewards, and benefits at any time, without notice. Changes may affect processes, benefits, earning and redemption rules, point levels, reward types, availability, and participation in the program.  

  2. All rewards program benefits, offers, rewards, and services are subject to availability and may be changed without prior notice. By accepting these benefits, offers, rewards, and services, each User acknowledges their responsibility to verify eligibility under applicable laws, gift policies, and incentive policies. Cyder reserves the right, at its sole discretion, to correct credited rewards if a User was not eligible according to this Agreement.  

12. Data Ownership

  1. Users own all data collected, stored, and shared through the Service. Users can manage their data within their personal account and decide what to share within the Cyder Service. By using the Service, Users grant Cyder an unlimited, royalty-free, worldwide license to re-license their data with consent and to use it for training Cyder's algorithms.  

13. The User;s Use of Services

  1. The right to access and use the Services is personal and non-transferable. The Services may only be used for lawful purposes. Accurate, current, and complete information about accounts must be provided as requested in the “link account” setup forms. Misrepresentation may affect the accuracy and effectiveness of the Services and the ability to use them. The User represents legal ownership of and authorization to provide all necessary Registration and Account Information.  

  2. Access to and use of the Services may be interrupted for reasons including, but not limited to, equipment malfunction, updates, maintenance, or other actions at Cyder's discretion. Cyder shall not be liable for any loss, cost, or damage resulting from any scheduled or unscheduled downtime.  

  3. Cyder may offer new or updated pre-release features for trial use and feedback. Use of pre-release features is voluntary, and Cyder is not obligated to provide or incorporate them into future releases. Users must comply with any rules or restrictions. Reverting to earlier versions may be impossible, and data created in pre-release features may not be restorable. Pre-release features are provided "as is" and may contain errors causing failures or data loss. Use is at the User's sole risk. 

Services  

14. Use of Services  

  1. Users must be at least 18 years old to use the Services, and by using them, Users represent that they meet this age requirement. Cyder does not knowingly collect information from individuals under 18; if such information is discovered, Cyder will delete the associated account in compliance with applicable regulations. Some Services may not be available to the general public, and Cyder may impose or amend eligibility requirements at any time  

 

15. Permission to Use Services  

  1. Subject to this Agreement, Cyder grants the User a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes. All rights, titles, and interests in the Services, including intellectual property rights, remain with Cyder. The Services are protected by intellectual property laws, including Canadian copyright law and international treaties. By using the Services, the User agrees not to:  

  2. Authorize any third party to reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer, or create derivative works of the Services;  

  3. Rent, lease, or sublicense access to the Services;  

  4. Circumvent or disable any security or technological features of the Services.  

  5. Registration and Use Obligations  

  6. By using the Services, the User agree to:  

  7. Provide accurate, current, and complete information about yourself as prompted by the Service.  

  8. Maintain and promptly update the Registration Data to ensure it remains true, accurate, current, and complete.  

If any information provided is found to be untrue, inaccurate, not current, or incomplete, or if there are reasonable grounds to suspect so, Cyder may suspend or terminate the User account.  

​16. Privacy

  1. Privacy Policy. Cyder has a privacy policy regarding the collection, use, and disclosure of personal information in connection with its operations, or otherwise held or processed on its behalf, and is in compliance with such privacy policy. True and complete copies of all privacy policies used by Cyder have been provided to User [Insert Link]. Cyder has posted a privacy policy and any required additional privacy notices as required by applicable laws, in a clear and conspicuous location in the Services.   

17. Third-Party Platforms  

  1. Cyder enables Users to access and utilize their data from specified Third-Party Platforms on the Cyder Platform when linked to the Cyder network.  

  2. Cyder's Privacy Policy does not apply to how third parties define and collect personal data or their use of it. Cyder is not liable for how third parties collect and use the User personal data. Users are encouraged to review third parties' Privacy Policies and understand their privacy rights before interacting with them.  

Access to Cyder Services​  

18. Modification and Discontinuance of Cyder Services​  

  1. Cyder reserves the right to temporarily or permanently, modify or discontinue, all or any portion of the Services without notice. Users acknowledge that Cyder will not be liable for any such modification, suspension, or discontinuance. Additionally, Cyder reserves the right, in its sole discretion, to reject or remove any imported, shared, or utilized data, and to restrict, suspend, or terminate access to the Services at any time, for any reason, with or without prior notice, and without liability. This may result in the loss of any earnings or data accrued within the User's Cyder account.  

19. Restrictions  

  1. Users must comply with all applicable laws when using Cyder Services. Restrictions include, but are not limited to:   

  2. storing, copying, modifying, distributing, or reselling any of the Service software, or compiling or collecting any Service content provided as part of a database or other work;   

  3. using any automated tool (e.g., robots, spiders) to access or use Cyder Services, or to store, copy, modify, distribute, or resell any parts of the Service;   

  4. renting, leasing, or sublicensing access to Cyder Services to another person;   

  5. using any Services or Service content for any purpose except for their own internal use;   

  6. circumventing or disabling any digital rights management, usage rules, or other security features of Cyder Services;   

  7. using Cyder Services in a manner that overburdens, or that threatens the integrity, performance, or availability of Cyder Services; or   

  8. removing, altering, or obscuring any proprietary notices (including copyright and trademark notices) on any portion of Cyder Services or any Service content.  

 

20. Intellectual Property  

  1. The User shall not use the Cyder IP for any purposes beyond the scope granted in this Agreement. The User shall not, at any time, directly or indirectly:  

  2. Copy, modify, or create derivative works of the Cyder IP, in whole or in part;  

  3. Rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Cyder IP;  

  4. Reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Cyder IP, in whole or in part;  

  5. Remove any proprietary notices from the Cyder IP; or  

  6. Use the Cyder IP in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.  

  7. Cyder respects others' intellectual property rights, and reserves the right to delete or disable any alleged infringements.   

 

21. Limitations of Liability  

  1. Cyder, Cyder suppliers, and licensors will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of revenue, credits, earnings, profits, goodwill, use, data, privacy, or other intangible losses (even if Cyder has been advised of the possibility of such damages), arising from the User use of Cyder Services. Under no circumstances shall the total liability of Cyder, Cyder suppliers, and licensors of all kinds arising out of or related to the User use of the Services (including warranty claims), regardless of the forum and whether the action or claim is based on contract, tort, or otherwise, exceed the greater of the amount the User paid to Cyder for the User use of the Services in the twelve (12) month period prior to the claim or the amount the User have received from Cyder during the same period.  

22. Indemnification  

  1. The User shall defend, indemnify and hold harmless Cyder and its officers, directors, shareholders, and employees, from and against all claims and expenses, including but not limited to attorney's fees and other legal expenses, in whole or in part arising out of or attributable to the User's use of the Service  or any breach of this Agreement by the User or the User's violation of any law or the rights of a third party when using the Service.  

23. Cancellation and Termination  ​​

  1. The User can cancel the User account and download and delete their data on the Platform at any time.This Agreement will continue to apply until terminated by either the User or Cyder as set out below. If the Userwant to terminate their legal agreement with Cyder, the User may do so as follows:  

  2. Please email getcyder@gmail.com. Once the User account has been deleted, their Cyder rewards balance will be forfeited and will no longer be accessible.  

  3. Cyder may at any time, terminate its legal agreement with the User and access to the Services:​  

  4. If the User has breached any provision of this Agreement (or have acted in a manner which clearly shows that the User intend to, or are unable to comply with the provisions of this Agreement);  

  5. If Cyder in its sole discretion believes it is required to do so by law (for example, where the provision of the Service to the User is, or becomes, unlawful); or  

  6. For any reason and at any time with notice to the User.  

  7. The User acknowledges and agrees that Cyder may immediately deactivate or delete User's account and all related information and files in the account and/or prohibit any further access to all files and the Services by User. Further, User agrees that Cyder shall not be liable to User or any third party for any termination of User's access to the Services.  

24. Legal  

  1. General  

  2. If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable shall be stricken from this Agreement.  

  3. Where Cyder modifies this Agreement, reasonable notice will be provided, where practicable, of such modification.  

  4. The User agrees that this Agreement and the use of the Services do not create a joint venture, partnership, employment, or agency relationship between the User and Cyder.  

  5. Cyder may assign, without recourse, any or all of its rights or obligations under this Agreement, including all or a portion of this Agreement.  

  6. The User agrees that if Cyder does not exercise or enforce any legal right or remedy which is contained in the Agreement, this will not be taken to be a formal waiver of Cyder’s rights and that those rights or remedies will still be available to Cyder.  

  7. All notices given or required by the User under this Agreement, shall be in writing and addressed to getcyder@gmail.com.  

25. Disclaimers  

  1. User access and use of the Service may be interrupted from time to time due to third-party failures outside of Cyder control. Access and use may also be interrupted for periodic updating, maintenance or repair of the Service by Cyder. While Cyder makes reasonable efforts to make the Service available to Users, Cyder does not guarantee that it will be available at all times.  

  2. Cyder has implemented commercially reasonable policies, programs, and procedures that comply with applicable laws and industry practices, including necessary administrative, technical, and physical safeguards, to protect the confidentiality, integrity, and security of personal information in its possession, custody, or control against unauthorized access, use, modification, disclosure, or other misuse. Cyder is not liable for any lost data due to a breach of these safeguards  

  3. Data Security Breaches and Unauthorized Use - To the best of Cyder's knowledge, Cyder has not experienced any loss, damage, or unauthorized access, disclosure, use, or breach of security of any personal information in its possession, custody, or control, or otherwise held or processed on its behalf in the past three (3) years.In the event of any data breach or loss, Cyder will make reasonable efforts to remediate the breach and restore lost data. However, Cyder cannot guarantee that Cyder Service is completely immune to hacking or other third-party interference or Acts of God beyond Cyder control.  

26. Warranties  

  1. To the maximum extent permitted by applicable law, the content and all services and products associated with the Service or provided through the Service are provided to the User on an "as-is" and "as available" basis. Cyder makes no representations or warranties of any kind, express or implied, as to the content or operation of the Service or of the Service itself. The User expressly agrees that their use of the Service is at their sole risk.  

  2. Cyder makes no representations, warranties, conditions, or guarantees, express or implied, regarding the accuracy, reliability, or completeness of the content on the Service or of the Service itself, and expressly disclaims any representations, warranties, or conditions of non-infringement or fitness for a particular purpose. Cyder makes no representation, warranty, or guarantee that the content that may be available through the Service is free of infection from any viruses or other code or computer programming routines that contain contaminating or destructive properties or that are intended to damage, surreptitiously intercept, or expropriate any system, data, or personal information. The User is responsible for ensuring the accuracy of any User content that they provide, and Cyder disclaims all liability and responsibility for the accuracy of such content.  

  3. Cyder acknowledges that the Platform is not intended or suitable for use in environments where failures, delays, errors, or inaccuracies in the content, data, or information provided could result in death, personal injury, or severe physical, economic, or environmental damage.  

  4. The User further agree and acknowledge that no oral or written information or advice given by Cyder or a Cyder authorized representative shall create a warranty.  

 

27. Dispute Resolution [Please Read This Provision Carefully. It Affects The User Legal Rights.]  

  1. Users agree that any claim or dispute arising out of or relating to the Services will be resolved solely and exclusively by binding arbitration, rather than in court. The laws of the Province of Ontario shall govern this Agreement and shall apply in any arbitration proceeding.  

    1. To initiate arbitration, Users must send a written letter requesting arbitration and describing their claim to: 64 Niagara Street, Toronto, Ontario, M5V 1C5.  

  2. The User under this provision waives any right to a class action lawsuit, with guiding provisions as follows:   

    1. This Arbitration; Class Action Waiver provision (this “Provision”) facilitates the prompt and efficient resolution of any dispute (e.g., claim or controversy, whether based on contract, statute, regulation, ordinance, tort – including, but not limited to, fraud, misrepresentation, fraudulent inducement, or negligence – or any other legal or equitable theory, and includes the validity, enforceability or scope of this Provision (with the exception of the enforceability of the Class Action Waiver clause below) that may arise between the User and Cyder . Effectively, then, “dispute” is given the broadest meaning enforceable by law and includes any claims against other parties relating to services or products provided or billed to the User (such as Cyder licensors, suppliers, dealers or third-party vendors) whenever the User also assert claims against Cyder in the same proceeding.  

    2. This Provision provides that all disputes between Cyder and the User shall be resolved by binding arbitration, by accepting of these Terms of Service the User waives their right to litigation claims and all opportunity to be heard by a judge or jury. There is no judge or jury in arbitration, and court review of an arbitration award is limited. The arbitrator must follow this agreement and can award the same damages and relief as a court (including attorney’s fees). The User may, however, opt-out of this Provision meaning the User would have a right or opportunity to bring claims in a court, before a judge or jury, and/or to participate in or be represented in a case filed in court by others (including, but not limited to, class actions). BOTH THE USER AND CYDER AGREE THAT, EXCEPT AS PROVIDED BELOW, ANY AND ALL DISPUTES, AS DEFINED ABOVE, WHETHER PRESENTLY IN EXISTENCE OR BASED ON ACTS OR OMISSIONS IN THE PAST OR IN THE FUTURE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION RATHER THAN IN COURT IN ACCORDANCE WITH THIS PROVISION.  

    3. Except as otherwise provided in this Provision, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding or claims (such as a class action, consolidated action, or private attorney general action) unless both Cyder and the User specifically agree to do so following initiation of the arbitration. If the User chooses to pursue their Dispute in court by opting out of the Arbitration Provision, as specified above, this Class Action Waiver will not apply to them. Neither the User nor any other User of the Services can be a class representative, class member, or otherwise participate in a class, consolidated, or representative proceeding without having complied with the opt-out requirements above.  

  3. If arbitration is not permitted, the User agrees that any dispute concerning the Services or Cyder may only be brought in a court located in the Province of Ontario.  

  4. However, the User agrees that Cyder may initiate legal action against them for any potential claim or dispute, including potential infringement or misuse of Cyder intellectual property or other proprietary rights.  

  5. If any clause within this Provision (other than the Class Action Waiver clause above) is found to be illegal or unenforceable, that clause will be severed from this Provision whose remainder will be given full force and effect. If the Class Action Waiver clause is found to be illegal or unenforceable, this entire Provision will be unenforceable and the dispute will be decided by a court.  

  6. Continuation: Cyder ensures that this Provision remains effective after the Users account with Cyder or Cyder affiliates is terminated and the User ceases use of the Services. Despite any provision to the contrary in this Agreement, Cyder agrees that if Cyder makes any changes to this Provision (except changes to the Notice Address), the User has the right to reject such changes. In the event of a dispute between Cyder and the User, the User may insist that Cyder adhere to the language of this provision.
